Non Disclosure Agreement & Terms and Conditions for Vendors

(Hereinafter referred to as “Vendor”)

Collectively referred to as the “Parties”.

1. Definition of Confidential Information

For purposes of this Agreement, “Confidential Information” includes all information or material that has or could have commercial value or other utility in the business in which Agency is engaged. Confidential Information includes, but is not limited to, the following types of information: technical data, trade secrets, know-how, research, product plans, products, services, customer lists and customers, markets, software, developments, inventions, processes, formulas, technology, designs, drawings, marketing, finances, and other business information disclosed by Agency to Vendor, either directly or indirectly.

2. Obligations of Vendor

Vendor shall:

Maintain the confidentiality of the Confidential Information with the same degree of care it uses to protect its own confidential information, but in no event less than reasonable care.
Not disclose any Confidential Information to third parties except as required by law or with the prior written consent of Agency.
Not use any Confidential Information for any purpose other than as necessary to perform its obligations under this Agreement or any project agreements with Agency.
Restrict disclosure of Confidential Information to its employees, agents, or contractors who have a need to know and who are bound by confidentiality obligations at least as restrictive as those contained herein.

3. Non-Use of Client Details and Project Outputs

Vendor agrees:

Not to use any client details, works, or outputs from any project handed over by Agency for any purpose other than the completion of the project.
Not to use any output from the project, client names, or their clients’ names or identities for any publicity by the organization or their staff in any form, including but not limited to marketing materials, case studies, or social media.
4. Project Handover and Source Files

Vendor shall:

Complete and hand over each project on time as agreed upon in the project schedule.
Deliver all source files related to the project to Agency upon completion of each project.
Ensure that all deliverables meet the quality standards agreed upon with Agency.

5. Return of Materials

Upon termination of this Agreement, or upon request by Agency, Vendor shall return all Confidential Information and any copies thereof to Agency or certify in writing that all such Confidential Information has been destroyed.

6. Term

This Agreement shall commence on the date first written above and shall continue indefinitely unless terminated by either party with thirty (30) days written notice. The confidentiality obligations shall survive the termination of this Agreement indefinitely.

7. No License

Nothing in this Agreement is intended to grant any rights to Vendor under any patent, copyright, trade secret, or other intellectual property of Agency, nor shall this Agreement grant Vendor any rights in or to the Confidential Information except as expressly set forth herein.

8. Miscellaneous

Governing Law: This Agreement shall be governed by and construed in accordance with the laws of [State/Country].
Amendments: Any amendment or modification of this Agreement must be made in writing and signed by both parties.
Severability: If any provision of this Agreement is found to be unenforceable, the remaining provisions will remain in effect.
Entire Agreement: This Agreement constitutes the entire agreement between the Parties regarding the subject matter hereof and supersedes all prior agreements and understandings.
